This banking policy developed alongside the implementation of the EU's 5th Anti-Money Laundering Directive. A Limited Liability Partnership consists of two or more partners, which may be offshore companies, and the partnership capital is divided into the partners' interests. A UK partnership cannot issue shares. It is managed by the partners themselves. In 2026, using English LP and LLP structures may involve increased risks of business bank account closures and unexpected interruption of financial operations, which is why we recommend considering LTD companies where appropriate.

A partnership in Canada - is also a legal entity, similar to the previously popular Scottish LP and close in form to a limited liability company. The capital of a Canadian L.P. may be any amount and is stated in the partnership agreement. The partnership capital may be any amount and is stated in the partnership agreement.

A B.V. company in the Netherlands - is a legal entity similar to an English LTD private company. The minimum number of shareholders is one, the capital is divided into shares, and the company is managed by a director or board of directors. Minimum and maximum paid-up capital requirements for B.V. companies in the Netherlands were abolished from 1 October 2012. Non-cash contributions to capital are permitted and can be stated in the articles without a mandatory independent valuation.

When comparing the classic offshore jurisdictions that were previously popular — BVI, Belize and Seychelles — in 2026, we recommend a ready-made Seychelles company when a fast, affordable and confidential solution is required. Seychelles companies are not on the EU blacklist and in practice no longer have exactly the same offshore status as in the past. In 2026, Seychelles applies a preferential zero corporation-tax rate to certain foreign economic activity instead of the former full tax exemption. Companies in Seychelles now have equal legal rights, while former IBC companies can still perform offshore functions subject to current compliance requirements.
